JOB DESCRIPTIONExperience drafting commercial and technology agreements. Experience working with commercial businesses would be an advantage. Familiarity with intellectual property protection and license agreements through law school courses or practice. Excellent organizational skills including careful attention to detail and ability to handle and prioritize multiple assignments simultaneously and maintain strict deadlines through effective time management Outstanding written and oral communication skills and ability to quickly communicate complex issues clearly and succinctly from both a legal and business perspective. Experience in client counseling and a client service focus capable of interacting with and providing guidance to a wide range of people and personalities. A practical roll-up-the-shirt-sleeves hands-on approach to the practice of law. The ability to work well both independently and as part of a highly collaborative fast-paced cross-cultural environment. A passion for science and technology. Strong sense of humor and flexibility required. Ability and willingness to be cleared to the Secret level.EDUCATION & PROFESSIONAL QUALIFICATIONS: J.D. degree and admission to the Massachusetts Bar Minimum of two to four years of experience with a law firm or in-house experience or a combination of the two.
Reporting to the Corporate Counsel Associate the Corporate Counsel is responsible for providing legal support to various stakeholders at Draper on legal implications of activities involving commercial and strategic transactions technology agreements licensing and commercial agreements. Associate Corporate Counsel shall be responsible for reviewing drafting and negotiating a wide range of agreements; and supporting longer-term and more complex legal projects with significant financial and business impact. Under general supervision performs consultation and advisory work involving moderately complex and somewhat critical issues to the company and carries out the more involved processes necessary to effect the rights privileges and obligations of the company. Provides legal advice and counsel to internal business clients on a broad range of legal matters including advising on legal questions relative to business strategy. Review draft and negotiate various agreements including commercial contracts technology agreements and sponsored research agreements. Analyze and assist with maintaining forms and agreement templates up-to-date with respect to applicable laws and best practices. May develop review or implement company-wide and/or functionally specific training programs. Keeps current on legislative issues statutes decisions and ordinances of quasi-judicial bodies.
