Duties: Associate-Intermediate-Finance/VP with Goldman, Sachs & Co. in San Francisco, CA. Develop complex presentations and financial models using Microsoft Office, Excel and PowerPoint. Work on teams providing financial advice to Technology, Media and Telecom (TMT) companies on M&A transactions, capital raising, and other complex financial transactions. Lead teams in structuring and executing M&A, equity and debt financing transactions. Build and review financial models including operating models, M&A and LBO valuations and models. Present to senior executives (CEO, CFO, etc.) of TMT clients on M&A, corporate strategy and financing alternatives. Develop new and strengthen existing client relationships. Supervise and coordinate the work of analysts and associates on the team while coordinating with senior bankers and various product experts throughout the Firm. Manage multiple teams. Work closely with internal and external senior executives. Significant travel.

Work Schedule: 40 hours per week (9:00 a.m. to 6:00 p.m.)

Job Requirements: Master?s OR Bachelor?s degree (U.S. or equivalent) in Business, Finance, Accounting, Economics or a related field. Three (3) years (with Master?s) or five (5) years (with Bachelor?s) of experience in the job offered or in a related investment banking position. Prior work experience must include: Structuring, analyzing and executing transactions on behalf of companies in the Technology, Media and Telecom (TMT) space including in technology specific to semiconductors and software; Executing complex financial modeling and analysis including cash-flow based (LBO) models, three statement models, discounted cash flow analysis, precedent transactions, sum-of-the-parts, liquidity analysis, funds flow, and comparable company analysis; Leading dialogue and liaising with senior bankers and product experts; Managing live deal execution, including running due diligence processes, negotiating non-disclosure agreements and other legal documents with lawyers and potential buyers, organizing and attending deal and non-deal roadshows and liaising with investment banks and client advisors; Supervising, guiding and coordinating junior professionals? work product, including reviewing financial modeling work and presentations prepared for live deals, corporate board meetings, investment banking pitches and client service projects on corporate finance topics; supervising and reviewing memoranda required to gain approvals from typical investment banking committees; Presenting to CEO / CFO level corporate clients in TMT sectors on topics such as strategic and M&A alternatives, capital markets activities, restructuring alternatives and corporate governance issues at board meetings and pitches and on conference calls; Interacting with senior management on a daily basis to execute projects, provide updates and advice and prepare presentation materials especially as it relates to equity underwriting; Working on cross border M&A transactions; Leading M&A transaction executions ? deal origination, information memorandum preparation, strategic and financial partner approach strategies, valuation and combination analyses, transaction negotiation and fairness opinions and Board presentations; Performing extensive financial and business due diligence, including interviewing senior management, inspecting product sites, reviewing strategic operating plans and analyzing historical and projected financial performance; Drafting and reviewing securities offering documents, sale and purchase agreements and other legal contracts for financial transactions; Executing detailed analysis of the pro forma impact of debt, equity and other capital issuances, spin-offs, divestitures, and changes in capital allocation policies including dividend and share repurchases; Lead, manage, mentor and train multiple teams of associates and analysts; Analyzing and executing a variety of corporate finance transactions including those in excess of $1.0bn. FINRA Series 79 license required. Travel required.

Salary: $210,000/year - $250,000/year
