Job Description
Support strategic MandA and corporate finance activities globally across all three of eBay Inc.'s business units (eBay Marketplaces, PayPal and GSI), including acquisitions, JVs and corporate financings, from pipeline and planning stages through and including closing and integration. Plan, assist, and coordinate due diligence exercises (and have primary responsibility for certain areas of diligence, including corporate and employee benefits). Structure, draft and negotiate definitive documentation. Assist and coordinate deal-related regulatory filings and integration matters.
Lead equity investment transactions.
Drive continuous improvements, scalability and operational excellence in deal processes and execution (including form documentation).
Review and negotiate MandA- and investment-related NDAs.
As needed, support corporate securities and SEC reporting and compliance matters, including corporate finance, periodic reports, proxy statements and annual reports.
Advise senior eBay management and business personnel.
Work closely with other eBay in-house legal personnel, eBay Inc. Corporate Development, Accounting Policy, Treasury/Finance, and other functional groups.
Manage outside advisors (including active management of outside counsel) for sophisticated transactions.JD degree with excellent academic credentials.
3-5 years of experience primarily in MandA and equity investment transactions (with a broad understanding of MandA and equity investment deals, documents and legal issues).
Strong experience in both domestic and cross-border MandA transactions.
Experience at a law firm with a sophisticated MandA/equity investment practice is highly desirable; experience with e-commerce and technology transactions is a plus.
Experience in corporate securities ('33 and '34 Act) and corporate financings is a plus.
Flexibility and creativity in dealing with complex legal issues on a domestic and cross-border basis.
Excellent interpersonal, written and oral communications skills.
Ability to distill and synthesize large amounts of information and effectively communicate findings.
Well organized and hard working, with the ability to manage numerous projects simultaneously under deadline pressure.
A high-level of intellectual, professional and interpersonal agility and flexibility, combined with strong analytical and problem-solving skills.
Team oriented, a 'can do' attitude, with a strong sense of humor, sound judgment and high tolerance for ambiguity.

eBay Inc. has announced the acquisition/disposition of 15 companies since late 2009 (aggregate value of approximately $6 billion) and participated in 10+ equity investments during the same timeframe.
This is a new position, which will be joining an existing team of 2 attorneys and 1 paralegal in this area.
