Netsmart Technologies is an established, leading supplier of enterprise-wide software solutions for health and human services providers. Netsmart s clients include health and human services organizations: public health agencies, mental health and substance abuse clinics, psychiatric hospitals, and managed care organizations.
The Corporate Counsel position will report to the General Counsel. Principal duties of the position include structuring, drafting and negotiating commercial agreements, most of which involve software licensing, support and cloud hosting agreements, advising on health care privacy issues as they affect the operation of the business and software development, and professional services agreements.
The successful candidate will also have an ability to contribute to the overall success of the organization in other areas which include but are not limited to:
Handling and resolving pre-litigation legal disputes and managing outside counsel on litigation matters
Providing strategic legal guidance on major projects, such as mergers, acquisitions and strategic partnerships
Identifying opportunities for process improvement
Developing and implement compliance policies and programs
Providing first line legal support for human resources and employment matters
Assisting the corporate secretary in corporate governance matters
The successful candidate must be enthusiastic, enjoy managing a variety of legal projects, and welcome challenges that expand professional perspective and skills. You will be expected to provide practical advice in ambiguous situations using logical analysis of risks and benefits of various options available.
Minimum of 8 years of legal experience, with a combination of law firm and an in-house transactional background preferred. Familiarity with securities laws and regulations is a plus, but not required.
A thorough understanding of software licensing and commercial transactions, and familiarity with HIPAA compliance
Working knowledge of laws and regulations governing the employer employee relations is desirable
Proven ability to provide clear advice through logical analysis of ambiguous situations
Strong negotiating skills that lead to collaborative solutions
A track record reflecting a pattern of great judgment, and the ability to view problems as opportunities, to be creative and contribute to the success of the enterprise
Juris Doctor and membership in good standing in at least one state bar is required.
