The Corporate Counsel position is a Deal Lawyer and will play a valuable role in the company s Legal Department supporting Tableau s USCA Sales Department. The Corporate Counsel will close deals (direct and indirect) through negotiating a variety of technology agreements and will also provide the company additional legal support as requested. The main focus of this role is on preparation, analysis, negotiation and counseling on technology licensing agreements, professional services agreements and other related contracts. This role will include daily interaction with the company s sales, operations and finance groups. As a self-starting, experienced communicator and problem-solver, this candidate must be able to prioritize effectively and drive issues to resolution within a team environment focused on growth, execution and process improvement.

Some of the things you ll be doing include

Draft, review, analyze, and negotiate a variety of contracts, including technology licensing agreements (on-prem and SaaS subscription agreements), and other agreements relating to professional services, confidentiality, requests for proposals, assignments, license transfers, and direct and indirect distribution.

Conduct legal training for the Sales and Operations teams.

Seamlessly collaborate cross-functionally with the company s sales, operations, engineering, information technology, human resources, marketing, and finance groups to understand and ensure consistency of agreement terms with the company s business, financial and risk management objectives.

Advise internal clients regarding legal and business issues, including identifying, managing and communicating risks and opportunities associated with specific agreements.

Proactively communicate with legal team; provide diligence/insight into the company s existing corporate agreements and identify / propose solutions to any localization issues.

Consistently anticipate, communicate, provide timely evaluation and guidance of, and propose mitigation strategies for and advise management of potential risks in contractual, regulatory, compliance, financial and legal areas.

Conduct various additional other legal and ad hoc projects as required.

Experienced. * In-house technology company experience required.

* 5+ years experience at a fast paced, agile technology company working with ageemets including draftig,review,negotiationand analysis of the same.

* Experience supporting quota-carrying, enterprise-level sales teams.

* Law firm experience (preferred)

* Educated. JD from accredited law school and Bar Admission

* Organized. Well organized, detailed oriented and adept in a fast paced environment.
