Provide legal and administrative support for the Law and Corporate Secretary Departments. Duties include:
Schedule, coordinate, draft documents and maintain records for meetings of the board of directors and annual stockholder meeting;
Prepare and file SEC Forms 3,4 and 5 for directors and executive officers;
Prepare SEC and NASDAQ filings as needed;
Docket and track corporate deadlines;
Manage distribution of annual report and proxy materials to stockholders;
Draft and file resolutions, corporate authorities, certifications and other documents;
Manage arrangements for board and committee meetings;
Track and post documents to company website and director SharePoint site;
Manage and maintain corporate and shareholder records for parent and subsidiary companies;
Communicate with stockholders, the board of directors and their staffs, senior managers, the transfer agent, outside counsel and other business partners;
Prepare and manage budget for Corporate Secretary Department;
Provide administrative assistant support to the General Counsel and to the Corporate Secretary as needed.
Qualified applicants will exhibit meticulous attention to detail, a high level of integrity and discretion in handling confidential information and a professional demeanor. Must possess strong customer service orientation, be highly motivated and demonstrate initiative, work independently, work on multiple tasks in a fast-paced environment and meet deadlines. Qualified applicants must also possess excellent communication skills, strong PC skills in Microsoft Office applications and other specialized databases; exceptional organizational skills; must enjoy preparing and maintaining thorough, accurate and consistent documents and records and designing and implementing processes to maximize accuracy and efficiency.
College degree and five years of corporate paralegal and/or legal assistant experience desired preferably with a corporate law department or large corporate law firm.
