Hilton is currently recruiting and hiring for a Director of Tax/Tax Counsel. Depending on time of this hire, the successful candidate may be employed by a Hilton entity on an interim basis, but Hilton anticipates that, at some point this year, this position will become a part of Park Hotels & Resorts Inc. (or one of its subsidiaries), an entity that will be spun off from Hilton as an independent, public company real estate investment trust. Summary of role: The Director of Tax/Tax Counsel is primarily responsible for: (i) the day to day management of IRS and state taxing authorities' examinations, (ii) the determination of tax exposure items and FIN48 reserves related to contested tax positions, (iii) REIT specific and non-REIT tax transaction planning, modeling, and analysis, and (iv) non-U.S. income tax matters. This is a key hire in the Company's tax function. The Director is expected to gain a thorough understanding of the Company's asset holdings and business operations. The Director will report to the Senior Vice President Tax and teams with Tax Counsel and internal customer groups including Controller's department and business operations. The Team Member will supervise third party tax services providers (legal & accounting firms). What will I be doing? The Director Tax / Tax Counsel will be expected to gain a thorough understanding of the Company's legal structure and its assets to manage taxing authorities' examinations including preparing responses to all information requests, negotiating with examination agents and assisting with the preparation of legal position papers and Protests for issues under consideration. Other key priorities are listed below: * Quarterly analysis of the adequacy of FIN48 reserves for tax exposure items under consideration * Responsible for non-US tax items and discrete tax planning and analysis related to daily operating and transactional issues and the integration of such planning within the Company * Monitor proposed federal, state, local and foreign legislation, cases and rulings to advise management on basic business structure decisions and mode of operations to minimize tax cost impact * Tax calculations and REIT compliance * Assist the Senior Vice President Tax in providing tax analyses and forecasts required to evaluate major projects, ongoing business decisions and to prepare business plans and budgets Hilton World Wide Inc. is acting as an Employment Agency in relation to this vacancy.
