We are seeking a junior attorney to join our Americas Entity Management team in the Legal and Governance Group. The role will be located in our new Jacksonville office primarily working as part of broader NY based team exposed to a large range of Corporate Governance issues.

The key responsibilities of the role will include (but are not limited to) the following:


Advising business groups and support divisions on aspects of company secretarial/corporate governance practice, corporate law and internal policies;

Providing technical and advisory support to Macquarie's business groups on transactions and ad hoc projects. Performing due diligence and reviewing and commenting on new project proposals and transaction documents.

Drafting board resolutions and related documents for statutory changes, annual compliance obligations and other corporate actions;

Overseeing the formation, dissolution, corporate maintenance and administration for entities in the United States, Mexico, Argentina, Brazil, Canada and the Cayman Islands.Liaise with external service providers, including legal counsel, to ensure compliance with local laws and regulations;

Organizing and attending subsidiary board meetings;
* iling and distributing board and committee meeting packs electronically through the Diligent Boardbookssystem;

Maintenance of group company statutory records on Blueprint;

Compiling company and ad hoc reports from Blueprint and charting as required; and

Responding to ad hoc requests for company statutory information and copy documents from the business groups and external parties.


To be successful for this position you will need to have the following skills and attributes:

* J.D. degree and license to practice in at least one jurisdiction
* Proficient skill and knowledge of MS Word, Excel, Powerpoint, Outlook and Worksite
* Ability to work under pressure and meet deadlines
* Ability to work independently and to report to supervisors in different locations;
* Must enjoy working in an open floor plan environment
* Strong organizational and management skills
* Ability to solve problems and show initiative
* An enthusiastic and flexible approach to work, working additional hours when required
* Ability to travel to the New York office when required
* Excellent personal presentation and written and verbal communication skills; and
* Strong attention to detail.

Prior experience with corporate governance, entity administration and corporate transaction work with stable work history and a background and/or interest in finance and banking are desirable but not required.


The Corporate Governance Division, as part of Group Legal, has responsibility for providing services to the Macquarie Group Board, the Board Committees and the Executive Committee, as well as for administering the Macquarie Group's subsidiaries, ASX listing rule compliance, employee equity schemes, professional risk and general insurances and Group-wide corporate governance matters.

The Entity Management team is responsible for the administration of all Macquarie Group companies whilst also assisting with administrative services for Non-group companies. The team look after document execution for all local entities (including sealing), liquidations and deregistrations, restructuring of groups, recapitalisations, transfers of share, changes to Directors and Directors Training. There are several teams globally located in Sydney, New York, London, Hong Kong, Singapore, Tokyo, Mumbai and, our newest location, Jacksonville.
