font size="2" strong Position Summary /strong br / Reporting to the Associate General Counsel, the Counsel will provide legal guidance and support for the company's contract and transactional work and provide assistance to the AGC to facilitate business objectives. br / br / strong Key Job Responsibilities /strong br / • Provide strength to the Commercial and IT contracts legal group, working interdepartmentally with key individuals to proactively identify assets and take necessary action in protecting, drafting, filing, prosecuting, enforcing and defending filings and claims • Asses the potential impact of laws, regulatory decisions and legal opinions on company policies, procedures, and practices; authorizing and revising legal documents; researching and analyzing legal, legislative and regulatory information; and developing and presenting legal positions to senior management within the Company • Support of IT for software licensing matters, strategic partnerships and other commercial transactions • Primary responsibility for drafting, negotiation, closure, post-contract interpretation, general advice and enforcement of vendor agreements as well as other client transactions (pleadings, data requests, data request responses, testimony, regulatory documents, reports, and presentations) • Prepare or refine forms, policies and processes, participate as a team member in strategic sessions and in training of employee groups in IT/Commercial Contracts related information • Providing a business sensitive, value added approach to the delivery of high quality work product and adequate legal controls, on a timely basis, to the Company's business units • Work with AGC to negotiate with opposing counsel and others concerning threats of litigation and contract drafting • Drafting a wide range of commercial contracts -- licensing agreements, service agreements, development agreements, non-disclosure agreements, packaging agreements, etc. • Provide legal review and advice concerning a wide range of issues with parties such as potential business partners' alliances and joint ventures with related associations and organizations • Other duties as assigned
br / br / strong Minimum Qualifications /strong br / • PhD, DBA, JD- in law • 5-7 years related experience • Experience handling complex transactions in a large law firm or a corporate legal department • Successful completion of the Bar exam in one or more states in which the Company conducts business, or capable of becoming licensed in such states. You will be required to obtain Florida license ore register as an authorized house counsel • Ability to use Micorosoft Office Suite of products. • Knowledge of research and analysis techniques and application of federal, state and local governmental laws and regulations is required • Commercial and Software/High Tech experience highly desirable • Excellent academic credentials • Ability to deal effectively with clients, including senior management • Experience maintaining the work of others, including paralegals • Client focused approach to delivering legal services • Substantial experience reviewing and drafting contracts • Knowledge of legal databases and matter management software • Strong organizational skills • Knowledge of business principles • Ability to work as a team member, to maintain project timelines, manage and prioritize multiple legal initiatives, and deliver commitments is a must • Excellent verbal and written communication and interpersonal skills are required, including ability to assess implications of proposed actions/arguments and respond appropriately in internal and external forums /font
