80% Provide strategic and tactical legal support and technical expertise on pharmaceutical licensing transactions to Business Development, Commercial, Finance, Group Reporting, Tax, Treasury and Communications teams.
Analyze legal and commercial risks which impact the Company from a licensing perspective and effectively advise on how to manage those risks.
Manage outside counsel on transactions; working collaboratively with Legal Department colleagues.
10% Provide strategic and tactical legal support and technical expertise on mergers, acquisitions and divestments to Business Development, Commercial, Finance, Group Reporting, Tax, Treasury and Communications teams.
10% Assist in the preparation and management of licensing policies; provide training to the corporate functions and business units on licensing topics.
EDUCATION & EXPERIENCE REQUIREMENTS
High academic achievement in the study of law.
Lawyer licensed to practice law in the US.
At least 7 years of post-law school experience.
At least 5 years of private practice experience in a highly regarded US legal practice.
Must have substantial experience in leading the negotiation of and documenting pharmaceutical licensing, M&A and other corporate transactions; and demonstrated ability to manage legal diligence, transaction and integration processes.
Must be able to work autonomously and have excellent communications and client-relations skills.
Must have the ability to provide legal advice clearly and confidently, have strong commercial instincts and the gravitas to quickly win the confidence and trust of the functions supported.
Must enjoy intellectual challenges and be a team player.
Fluency in English essential; further language fluency would be useful but not essential.
In-house legal experience helpful, but not essential.
