The Legal Due Diligence Specialist provides support to the CFT NV Development, LLC/Cherng Family Trust Due Diligence Manager and attorneys with real estate and corporate transactions. The Legal Due Diligence Specialist summarizes and communicates due diligence issues to the CFT's Real Estate Development, Leasing, and Legal teams, and ensures accurate and timely review and preparation of due diligence, real estate and corporate documents.
Conducts legal due diligence, ordering/obtaining and reviewing all title documents, environmental reports, and in-place leases. Prepares title review, environmental review, and lease review memoranda advising on development or other issues discovered. Obtain 3rd-party consents. Processes all invoices.
Manages escrows for purchase transactions. Responsible for closing purchase transactions.
Prepares all related-party leases (e.g., to Panda Express) and abstracts all new leases.
Prepares first draft of all non related-party leases. (i.e., to the third parties), lease amendments and lease renewals, and abstracts all new leases.
Prepares first draft of all third party lease amendments and lease renewals, revises and negotiates same, as necessary.
Prepares first draft of all purchase contracts, and sales contracts.
Reviews and revises confidentiality agreements, estoppel certificates, brokerage listing agreements, etc.
Manages and keep confidential of all legal information and due diligence database.
Assists Due Diligence Manager and CFT attorneys with corporate and LLC formation, organization, and maintenance and preparation of legal documents.
Assists in building and maintaining partnerships with critical stakeholders, both internal and external.
Bachelors Degree in Business Administration, Law or related field
Paralegal certification strongly preferred.
Notary license a plus.
Minimum one (1) year of relevant experience (e.g., real estate and/or corporate paralegal)
Successful completion of annual store training.
